Licence terms
These terms cover licensing, support, data and responsibilities when using VesselSuite applications. A signed licence, trial agreement or purchase order takes precedence, as explained in section 1.
The agreement
These terms are between VesselSuite, of Tallinn, Estonia, and the operator or owner licensing an application. Installing or using an application accepts them. Where a separate licence, trial agreement or purchase order has been signed, its terms prevail.
Licence
Applications are licensed per client according to fleet size, for the period paid for. The licence is non-exclusive and non-transferable. It covers the crew and shore staff of the vessels included in the licence.
The licence does not permit resale, sublicensing or use beyond those vessels. Reverse engineering and redistribution are not permitted; the software and its documentation remain ours.
Your records and data
The records entered in an application belong to the customer. We claim no ownership of them. We use records shared with us only to provide the service or support the customer requests.
Shipboard applications store records on the vessel's computer. Where the operator uses the optional hosted Fleet service, records it sends to Fleet are also held there. Records can be exported for independent storage. How personal data is handled is set out in the Privacy Policy.
Reviewing and approving records
The applications help prepare records and declarations from information entered aboard. The crew must review the output before signing, filing or submitting it. Entries must reflect what actually happened.
Statutory responsibility for the accuracy of a log, declaration or return stays with the master, operator and company, as the applicable regulation requires. Using the application does not replace required official records or approvals.
Cost estimates and landing decisions
Cost comparisons depend on the itinerary, waste quantities and port charging data available to the application. Missing or outdated data can prevent a reliable comparison. An estimate is not a quotation: tariffs change and invoices may differ.
The operator must check applicable port requirements and confirm charges before making a landing decision. Landing decisions and their cost consequences remain the operator's responsibility.
Support, updates and trials
Support. A live licence includes support by email.
Updates. The licence includes updates issued during its term, including changes made to follow a regulatory amendment.
Trials. Trials run on the same terms, free of charge, for the agreed period. Either side may end a trial at any time.
Pricing and licence period
Fees are based on fleet size and quoted before a licence starts. They are invoiced for the agreed licence period and payable within the period stated on the invoice.
Where the fleet grows during a licence period, the licence is extended to the added vessels and the fee adjusted from that point.
Expiry and termination
Either side may decline to renew at the end of a licence period. We may suspend a licence for non-payment or use outside these terms, after written notice.
On termination, the right to use the software ends. The records already produced stay with the customer: nothing is withheld and we do not delete records from the vessel.
Warranty and liability
We warrant that an application performs as described in its documentation, and we fix faults reported to us. Beyond that it is supplied as it is.
Our liability is limited to the fees paid in the twelve months before a claim, and we are not liable for lost profit, fines, or detention arising from records the customer entered or filed. Nothing here limits liability that cannot be limited by law.
Governing law
Estonian law governs these terms.
